Terms and Conditions

These Terms and Conditions (the "Terms") are a legally binding agreement between you and Avono LLC, operating the Avono Health brand ("Avono," "we," "us," or "our"). These Terms govern your access to and use of Avono websites, portals, forms, communications, content, subscriptions, products, support channels, checkout flows, and related services (collectively, the "Services").

By accessing or using the Services, creating an account, completing an intake form, clicking to accept, purchasing a plan, communicating with us, or otherwise using Avono, you agree to these Terms, the Privacy Policy, the Telehealth Medical Consent, and any additional terms, notices, consents, or policies presented to you.

Important: These Terms contain an arbitration agreement, class action waiver, jury trial waiver, limitation of liability, disclaimers, and indemnity obligations. Read them carefully.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Services. You may use the Services only for yourself unless Avono expressly permits another use in writing and applicable law allows it. Services are available only where permitted by law and may vary by state, location, Provider availability, pharmacy availability, product availability, and clinical eligibility.

2. Avono's Role

Avono is a digital health platform and administrative service provider. Avono does not practice medicine, prescribe medications, dispense medications, compound medications, provide pharmacy services, operate a clinical laboratory, or control the independent professional judgment of Providers, pharmacies, laboratories, or other Clinical Partners.

Independent Providers are responsible for clinical evaluation, diagnosis, treatment decisions, medical advice, prescriptions, follow-up requirements, and professional services. Pharmacies are responsible for pharmacy services, dispensing, labeling, counseling, substitution decisions, compounding where applicable, and fulfillment. Laboratories are responsible for laboratory services. Avono is not liable for the acts, omissions, professional judgment, negligence, malpractice, products, services, or regulatory compliance of independent third parties except to the extent liability cannot be limited under applicable law.

3. No Emergency Use

The Services are not for medical emergencies, urgent care, crisis situations, or conditions requiring immediate attention. If you have a medical emergency, call 911 or go to the nearest emergency room. Do not rely on Avono, email, SMS, portal messaging, or asynchronous forms for emergency or urgent needs.

4. No Medical Advice by Avono

Content provided by Avono, including website content, blog posts, product descriptions, FAQs, educational materials, pricing pages, marketing materials, and customer support communications, is for general informational and administrative purposes only and is not medical advice, diagnosis, treatment, or a substitute for professional medical judgment. You should consult an appropriate licensed health care professional for medical concerns.

5. Accounts, Identity, and Security

You agree to provide accurate, current, and complete information and to maintain and promptly update that information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must promptly notify Avono of any suspected unauthorized use, account compromise, inaccurate information, or security incident.

Avono and Clinical Partners may require identity verification, age verification, location verification, payment verification, medical history verification, prescription monitoring checks, lab testing, or other verification before services are provided or continued.

6. User Responsibilities and Prohibited Conduct

You agree not to:

  • Provide false, misleading, incomplete, or outdated information.
  • Use the Services for another person without authorization or where prohibited by law.
  • Seek medications for resale, diversion, misuse, abuse, or any unlawful purpose.
  • Interfere with, disrupt, reverse engineer, scrape, copy, misuse, or attempt to gain unauthorized access to the Services or related systems.
  • Use bots, automated tools, or deceptive methods to access, purchase, or manipulate the Services.
  • Harass, threaten, abuse, defame, or violate the rights of Avono personnel, Providers, partners, or other users.
  • Upload malicious code, unlawful content, infringing content, or content that violates another person's rights.
  • Violate applicable law, professional requirements, pharmacy requirements, or these Terms.

7. Telehealth Consent and Clinical Terms

Your use of telehealth-related Services is subject to the Telehealth Medical Consent. Providers, pharmacies, laboratories, and other Clinical Partners may require additional terms, consents, authorizations, disclosures, intake forms, medical history, lab testing, follow-up, or documentation. If you do not provide required information or consent, services may be delayed, denied, modified, or discontinued.

8. Prescriptions, Medication, and Pharmacy Services

Prescription approval is not guaranteed. Providers determine whether any treatment or prescription is medically appropriate. A Provider may decline, modify, suspend, or discontinue treatment at any time based on clinical judgment, incomplete information, safety concerns, law, product availability, pharmacy requirements, or other reasons.

Medications may be fulfilled by independent licensed pharmacies. Avono does not guarantee medication availability, timing, formulation, manufacturer, compounder, dose, strength, package size, delivery date, temperature condition at delivery, refill approval, or clinical outcome. Pharmacy and shipping delays may occur.

9. Compounded Medications

Certain medications available through independent Clinical Partners may be compounded. Compounded medications are not FDA-approved and are not generic versions of FDA-approved drugs. FDA does not verify the safety, effectiveness, or quality of compounded medications before they are marketed. Compounded medications may be prescribed only if a Provider determines they are appropriate and a pharmacy determines it may lawfully compound and dispense them.

You agree not to rely on Avono marketing or website content as representing that any compounded medication is the same as, equivalent to, interchangeable with, or a generic version of any branded or FDA-approved medication. You should direct medication-specific questions to your Provider and dispensing pharmacy.

10. Controlled Substances

Some treatments, including testosterone, may be controlled substances or otherwise subject to heightened federal and state requirements. Prescribing and fulfillment may require identity verification, prescription drug monitoring program review, lab testing, video or in-person evaluation, additional documentation, refill limits, pharmacy approval, or other conditions. Avono and Clinical Partners may refuse, cancel, delay, suspend, or terminate access to controlled-substance-related services where required or advisable.

11. Payments, Subscriptions, Renewals, and Billing Authorization

You agree to pay all fees and charges presented at checkout, in your account, or otherwise disclosed to you, including consultation fees, subscription fees, medication charges, pharmacy charges, lab charges, shipping, taxes, and other applicable charges. Fees may be charged before clinical approval, after clinical approval, at the time of pharmacy processing, on a recurring basis, or as otherwise disclosed.

If you enroll in a subscription or recurring plan, you authorize Avono or its payment processor to charge your payment method at the disclosed interval until you cancel or the plan is otherwise terminated. Prices, products, package terms, refill timing, and renewal timing may change as permitted by law and disclosed to you. You are responsible for maintaining a valid payment method.

12. Cancellation, Refunds, Returns, and Chargebacks

Cancellation terms depend on the plan, service, prescription status, pharmacy processing status, and applicable law. You must cancel before the renewal or processing cutoff disclosed to you to avoid future charges. Cancellation may stop future renewals but does not necessarily cancel orders already submitted for clinical review, pharmacy processing, compounding, dispensing, shipment, or other fulfillment.

Except where required by law or expressly stated in writing by Avono, fees are non-refundable once services have been rendered, a Provider has reviewed your intake, a prescription has been issued, a pharmacy has started processing, a medication has been compounded or dispensed, a shipment has been prepared or shipped, or a lab order has been placed. Prescription medications and certain health products generally cannot be returned, reused, or refunded after dispensing or shipment.

If you believe a charge is incorrect, contact Avono promptly at the compliance contact or support channel provided. You agree not to initiate false, misleading, or bad-faith chargebacks. Avono may suspend or terminate accounts with unpaid balances, payment disputes, suspected fraud, or chargeback abuse.

13. Shipping, Delivery, and Risk of Loss

You are responsible for providing a complete and accurate shipping address and monitoring delivery. Avono and Clinical Partners are not responsible for delays or losses caused by incorrect addresses, carrier delays, weather, theft after delivery, failure to retrieve packages, regulatory restrictions, pharmacy delays, product shortages, or other events outside their reasonable control. Title and risk of loss may pass as provided by the dispensing pharmacy or applicable law.

14. Promotions, Discounts, Referrals, and Ambassador Codes

Promotions, discounts, coupon codes, referral links, and ambassador codes are subject to additional terms, may be limited, may expire, may not be combined, may not apply to all products or services, and may be modified or discontinued at any time where permitted by law. Avono may deny or reverse promotional benefits in cases of fraud, abuse, self-referral, duplicate accounts, ineligible purchases, returns, chargebacks, cancellations, or policy violations.

15. Content and Intellectual Property

The Services and all content, trademarks, trade names, logos, graphics, interfaces, text, videos, software, designs, workflows, and other materials are owned by Avono or its licensors and are protected by intellectual property and other laws. You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, lawful, non-commercial use as permitted by these Terms. No rights are granted except as expressly stated.

16. User Content and Feedback

If you submit messages, reviews, feedback, photos, testimonials, suggestions, or other content, you grant Avono a worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, display, distribute, and create derivative works from that content to operate, improve, support, defend, and promote the Services, subject to applicable privacy laws and health privacy obligations. You represent that you have the right to submit the content and that it does not violate law or third-party rights.

Avono is not required to use, maintain, return, or compensate you for feedback or suggestions. Do not submit confidential business ideas or information unless you have a separate written agreement with Avono.

17. Third-Party Services

The Services may include links, integrations, redirects, or access to third-party websites, portals, payment processors, Providers, pharmacies, laboratories, shipping carriers, identity verification vendors, analytics tools, or other third-party services. Avono does not control and is not responsible for third-party services, content, policies, availability, errors, omissions, products, or professional judgment. Your use of third-party services may be subject to separate terms and privacy policies.

18. Privacy

Your use of the Services is subject to the Privacy Policy and, where applicable, a Notice of Privacy Practices and other privacy notices or authorizations. By using the Services, you consent to electronic communications and information practices described in those documents and in any additional consents you provide.

19. Service Availability, Changes, Suspension, and Termination

Avono may modify, suspend, restrict, or discontinue all or part of the Services at any time where permitted by law. Avono may suspend or terminate your account or access if you violate these Terms, provide inaccurate information, create safety risk, misuse services, fail to pay, engage in fraud or abuse, threaten personnel or Providers, violate law, or if continued service is not commercially, legally, operationally, or clinically appropriate.

You may stop using the Services at any time, but you remain responsible for charges incurred, obligations accrued, and terms that survive termination.

20. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, CONTENT, WEBSITE, PORTAL, COMMUNICATIONS, AND AVONO-ADMINISTERED FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, SECURITY, RELIABILITY, OR ERROR-FREE OPERATION.

AVONO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, ERROR-FREE, AVAILABLE IN ALL LOCATIONS, OR THAT ANY PARTICULAR PROVIDER, PHARMACY, LABORATORY, MEDICATION, PRODUCT, DOSE, PRICE, SHIPPING METHOD, OR OUTCOME WILL BE AVAILABLE OR APPROPRIATE FOR YOU.

21. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AVONO AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, VENDORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOSS OF DATA; LOSS OF GOODWILL; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; PERSONAL DEVICE OR NETWORK COMPROMISE; OR DAMAGES ARISING FROM THIRD-PARTY PROVIDERS, PHARMACIES, LABORATORIES, CARRIERS, PAYMENT PROCESSORS, OR OTHER THIRD PARTIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, AVONO'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO AVONO FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

22. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Avono and its owners, members, managers, officers, directors, employees, contractors, affiliates, licensors, vendors, and agents from and against all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: your use or misuse of the Services; your violation of these Terms; your inaccurate, incomplete, or misleading information; your violation of law; your violation of another person's rights; your user content; your failure to follow Provider, pharmacy, medication, lab, or safety instructions; or your fraud, abuse, or unauthorized activity.

23. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except to the extent federal law or mandatory consumer protection law requires otherwise.

24. Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. To the fullest extent permitted by law, you and Avono agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, communications, purchases, subscriptions, privacy, billing, advertising, or the relationship between you and Avono will be resolved by binding individual arbitration rather than in court, except for claims that qualify for small claims court and claims seeking injunctive or equitable relief for misuse of intellectual property, unauthorized access, or security threats.

The arbitration will be administered by the American Arbitration Association (AAA) or another mutually agreed arbitration provider under applicable consumer arbitration rules. Unless otherwise required by law, the arbitration will be conducted in Nevada, by video conference, by telephone, or based on written submissions, as determined by the arbitrator. The arbitrator has authority to resolve disputes about arbitrability, enforceability, interpretation, and scope, except that a court will decide issues concerning the class action waiver.

YOU AND AVONO AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding unless both parties agree in writing.

You may opt out of this arbitration agreement by sending written notice to Avono at the contact email below within 30 days after you first accept these Terms. Your notice must include your name, email address, and a clear statement that you opt out of arbitration. Opting out of arbitration does not affect any other part of these Terms.

25. Jury Trial Waiver

If any dispute proceeds in court rather than arbitration, YOU AND AVONO KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A JURY TRIAL to the fullest extent permitted by law.

26. Time Limit to Bring Claims

To the fullest extent permitted by law, any claim arising out of or related to the Services or these Terms must be filed within one year after the claim arose, or it is permanently barred. This limitation does not apply where prohibited by law.

27. Force Majeure

Avono is not liable for delay or failure to perform due to events beyond its reasonable control, including supply shortages, pharmacy delays, carrier delays, labor issues, cyberattacks, internet outages, platform outages, epidemics, natural disasters, weather, war, terrorism, civil unrest, regulatory changes, government action, or acts or omissions of third parties.

28. Assignment

You may not assign or transfer your rights or obligations under these Terms without Avono's prior written consent. Avono may assign or transfer these Terms or its rights and obligations in connection with a merger, acquisition, financing, restructuring, sale of assets, change of control, or by operation of law.

29. Severability, Waiver, and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable where permitted by law. Avono's failure to enforce a provision is not a waiver. These Terms, together with incorporated policies and any additional terms presented to you, form the entire agreement between you and Avono regarding the Services.

30. Changes to Terms

Avono may update these Terms from time to time. Updated Terms will be posted with a revised "Last Updated" date or otherwise made available. Continued use of the Services after updated Terms become effective constitutes acceptance, subject to applicable law. If you do not agree to updated Terms, stop using the Services and cancel any subscription before the next renewal or processing cutoff.
